Studio Partnership Terms

These Studio Partnership Terms (hereafter "SPT") govern the contractual relationship between Synk, operated by Walson Argan René (Sole proprietor/Auto-entrepreneur, SIRET: 98936288400011, 14 Rue Carnot, 94800 Villejuif, France), hereafter "Synk", and any physical or legal person operating a recording studio and wishing to list this studio on the Synk platform (mobile application and website synk-app.com), hereafter the "Partner Studio".
These terms apply in addition to the general Terms of Use (Terms) of Synk, which remain fully applicable. In the event of a conflict, these SPT shall prevail for the specific aspects of the Partner Studio's activity.
1. Object of the Partnership
Synk is a digital marketplace that connects recording studios with artists and music professionals. Synk provides the Partner Studio with:
- A tool to create and manage its studio listing (name, description, photos, equipment, rates, availability)
- Visibility to users of the mobile application and website
- A secure online booking system
- Payment processing via the authorized provider Stripe
- A dashboard to manage bookings and earnings
Synk acts exclusively as a technical and commercial intermediary. Synk is not a party to the contract for services concluded between the Partner Studio and the client (artist or professional). The Partner Studio is the sole service provider responsible for executing the recording session.
2. Conditions for Access to the Partnership
2.1 Eligibility
To become a Partner Studio, you must:
- Be of legal age (18 years or older) and have the legal capacity to contract
- Operate a recording studio legally and regularly on French territory
- Have a valid SIRET or SIREN number (or equivalent for foreign nationals operating in France)
- Provide accurate, complete, and up-to-date information about your activity
2.2 Identity Verification (KYC)
In accordance with legal obligations arising from the Digital Services Act (DSA, Regulation EU 2022/2065) and the payment services regulations (PSD2), Synk verifies the identity of each Partner Studio before any listing is published and payments are received.
This verification is carried out by our authorized payment provider Stripe (Stripe Payments Europe, Ltd.) and involves the collection and verification of the following elements:
- Identity of the representative (first name, last name, date of birth, identity document)
- SIRET or SIREN number (or equivalent)
- Bank details (IBAN of the account for receiving funds)
- Studio address
- Professional phone number and email
The data collected in the context of KYC is transmitted to Stripe and processed according to its own privacy policy. Synk only retains your SIRET/SIREN number and professional email for the duration of the partnership and 6 months after its termination (in accordance with Art. 30 of the DSA).
3. Listing and Ranking
In accordance with Regulation (EU) 2019/1150 ("P2B"), Synk informs you transparently of the criteria for ranking studio listings:
The ranking of studios in search results is determined primarily by the following factors, in order of importance:
- Geographical relevance — proximity to the user's location or the city searched
- Completeness of the listing — listings with photos, complete description, rates, and availability filled in are favored
- Average rating — reviews left by clients after sessions
- Booking acceptance rate — studios honoring all their confirmed bookings are favored
- Recent activity — listings updated recently
Synk does not practice any paid differentiated treatment (sponsored placements) to date. If such a system is implemented in the future, it will be clearly identified as "sponsored" and Partner Studios will be informed with a 15-day notice period.
4. Obligations of the Partner Studio
4.1 Listing Obligations
- Provide accurate, complete, and up-to-date information (address, equipment, rates, capacity)
- Keep availabilities up to date to avoid bookings on unavailable slots
- Only publish representative and recent photos of the actual space
- Do not offer illegal services or services contrary to public decency
- Inform Synk of any significant changes (temporary closure, relocation, change in rates) within 48 hours
4.2 Booking Obligations
- Honor all confirmed bookings via the platform, except in cases of force majeure duly justified
- Welcome clients in the conditions described in the listing (functional equipment, clean and safe premises)
- Notify the client and Synk as soon as possible in case of inability to honor a confirmed booking
- Do not encourage clients to book or pay outside the Synk platform to bypass commissions
4.3 Legal and Professional Obligations
- Comply with all laws and regulations applicable to the operation of a studio (employment law, safety standards for public-access buildings if applicable, SACEM/SCPA rights if music is broadcast on the premises)
- Have professional liability insurance covering the activity
- Comply with the regulations applicable to the protection of personal data (GDPR) for client data that you may process directly
- Fulfill all your tax and social security obligations arising from your activity
5. Commission and Billing
5.1 Commission Rate
Synk charges a 10% (ten percent) commission on the pre-tax amount of each booking completed via the platform.
This commission is automatically deducted at the time of payment by the client, before payout to the Partner Studio.
5.2 Payment Processing Fees (Stripe)
Credit card processing fees (Stripe commission on each transaction) are fully absorbed by Synk. The Partner Studio does not bear these fees.
The Partner Studio therefore receives: booked amount × (100% − Synk commission), without any additional deduction related to card processing.
Instant Payouts: Stripe offers an optional instant payout service (within hours) for an additional fee (~1%, minimum €0.50). This service is optional and at the discretion of the Partner Studio, which assumes the fees if it chooses to activate it in its Stripe account. Standard payouts (SEPA, 1-2 business days delay) remain free of charge.
5.3 Payout of Funds
Funds corresponding to completed bookings are paid directly to the bank account linked to the Partner Studio's Stripe Connect account, according to the payout schedule chosen by the Partner Studio in their Stripe account settings (standard: 2 business days after the end of the session).
Funds do not pass through Synk's bank accounts. Synk only receives its commission through the automatic split mechanism (Stripe Connect) at the time of the transaction.
5.4 Modification of the Commission Rate
Synk reserves the right to modify the commission rate. Any modification will be notified to the Partner Studio by email on a durable medium, with a minimum notice period of 15 days, in accordance with Regulation (EU) 2019/1150 (P2B). A Partner Studio who does not accept the modification may terminate the partnership without penalty before the new rate takes effect.
6. Cancellation Policy — Studio Responsibilities
6.1 Cancellation by the Client
In case of cancellation by the client, the general strict no-refund policy applies. The Partner Studio retains the booking amount (minus commission and Stripe fees), unless the cancellation results from a fault of the Partner Studio.
6.2 Cancellation by the Partner Studio
- Fully assume the non-refundable Stripe fees on the canceled transaction
- Refund the client the full amount paid (excluding unrecoverable Stripe fees)
- Receive no commission and no revenue on the canceled booking
6.3 Force Majeure
Constitutes a case of force majeure justifying cancellation without penalty: fire, flood, natural disaster, total and prolonged power failure, administrative closure order, or any other unpredictable and irresistible event making it physically impossible to welcome the client. The Partner Studio must inform Synk as soon as possible and provide any useful justification.
7. Intellectual Property Rights
7.1 Content Published by the Partner Studio
The Partner Studio retains full ownership of any content it publishes on the platform (photos, descriptions, logos). By publishing this content, the Partner Studio grants Synk a non-exclusive, royalty-free, worldwide license, for the duration of the partnership, to use, reproduce, display, and distribute this content for the following purposes:
- Display on the Synk mobile application and website
- Promotion of the platform on Synk's social media and marketing materials
- Indexing by search engines
The Partner Studio guarantees that it holds all necessary rights to the published content and that it does not infringe upon the rights of third parties (copyright, image rights, trademark rights).
7.2 Synk Trademark
The Partner Studio may mention its presence on Synk for communication purposes (e.g., "Book our studio on Synk"). Any other use of Synk's brand, logo, or visuals requires prior written authorization from Synk.
8. Suspension and Termination
8.1 Termination by the Partner Studio
The Partner Studio may terminate the partnership at any time, without penalty, by deleting their account from the app settings or by contacting Synk at contact@synk-app.com. Bookings already confirmed and paid at the time of termination must be honored, unless otherwise agreed with the client concerned.
8.2 Suspension or Termination by Synk
Synk may suspend or terminate the partnership in the following cases:
- Violation of these SPT or the general Terms of Use
- Repeated and unjustified cancellations of confirmed bookings (more than 3 in any rolling 12-month period)
- False or misleading information in the listing or during KYC
- Fraudulent behavior, abuse of the platform, or encouraging clients to bypass the payment system
- Serious and repeated client complaints unresolved
- Serious legal non-compliance (administrative closure, proven tax fraud, etc.)
- Failure to validate KYC within 30 days after request
In case of preventive suspension (pending verification), Synk will inform the Partner Studio by email within 24 hours with an explanation of the reasons.
In case of definitive termination, Synk will notify the Partner Studio by email with a 15-day notice period, except in case of serious violation (fraud, manifest illegality) where termination may be immediate. An explicit reason will be communicated with the notification.
9. Complaint Handling and Dispute Resolution System (P2B)
In accordance with Regulation (EU) 2019/1150 ("P2B Regulation"), Synk makes a free internal complaint-handling and conflict management system available to Partner Studios.
In-App Reporting and Internal Resolution: The platform integrates a reporting system (flag/report) and conflict management directly accessible in the application to report any incident or abnormal behavior during a session or with a user. In the event of a dispute, the Partner Studio agrees to prioritize the use of this internal system or contact client support at contact@synk-app.com.
9.1 Formal Internal Complaint
For any dispute relating to a decision by Synk (account suspension, modification of listing ranking, dispute over commission calculations), the Partner Studio may address a written complaint to:

Synk agrees to acknowledge receipt of the request within 48 hours and to provide a reasoned response within a maximum of 14 business days.
9.2 External Mediation
In accordance with the obligations of the P2B Regulation, in the event of failure of the amicable internal 14-day procedure, the Partner Studio may submit the dispute to an independent mediator external to Synk.
Synk designates the following independent mediation body for this purpose:

Note on CMAP: This is a neutral, third-party organization specializing in the amicable resolution of commercial disputes. Recourse to this external mediation is optional. The costs of this mediation procedure are shared equally between the two parties (Synk and the Partner Studio) in accordance with the operating rules of the CMAP.
10. Personal Data Processing (GDPR)
10.1 Data Processed in the Context of the Partnership
In the context of these SPT, Synk processes the personal data of the Partner Studio representative (or the Partner Studio itself if it is a physical person) for the following purposes:

10.2 Rights of the Partner Studio
In accordance with the GDPR, the Partner Studio has the following rights regarding their personal data: access, rectification, erasure, portability, objection, and restriction of processing. These rights can be exercised at contact@synk-app.com (response time: 30 days maximum). A complaint can be filed with the CNIL.
10.3 Subprocessors
Synk uses the following subprocessors in the context of the partnership:
- Stripe (USA, Privacy Shield/SCC) — payment processing and KYC
- Supabase (Singapore/USA, SCC) — data hosting and authentication
- Resend (USA, SCC) — transactional email delivery
Transfers outside the EU are governed by standard contractual clauses approved by the European Commission.
11. Liability
11.1 Liability of the Partner Studio
The Partner Studio is solely responsible for:
- The quality of recording sessions and services provided to clients
- The safety of its premises and equipment
- Any damage caused to a client on its premises
- Compliance with its tax, social security, and administrative obligations
- The accuracy of information published on its listing
11.2 Liability of Synk
Synk agrees to maintain the platform in working order and to process payments in good faith. Synk's liability is limited, in any event, to the amount of commissions collected by Synk on the bookings of the Partner Studio during the 12 months preceding the damage.
Synk cannot be held liable for:
- Bugs or service interruptions due to third parties (Stripe, host, operators)
- Indirect damages, loss of revenue, or loss of profits
- Disputes between the Partner Studio and its clients
12. Modification of the Partnership Terms
Synk may modify these SPT. Any modification will be notified to the Partner Studio by email on a durable medium, with a minimum notice period of 15 days before its entry into force, in accordance with Regulation (EU) 2019/1150.
A Partner Studio who does not accept the modifications may terminate the partnership without penalty, by written notification to Synk before the effective date, and bookings confirmed prior to that date remain subject to the terms in force at the time they were created.
The absence of termination within the specified period constitutes acceptance of the new terms.
13. Governing Law and Jurisdiction
These SPT are governed by French law.
In the event of a dispute not resolved through internal channels (Section 9), the courts of the jurisdiction of Synk's registered office (Villejuif, Val-de-Marne, France) shall have exclusive jurisdiction, unless otherwise provided by law applicable to the weaker party.
